Terms and Conditions of Use and Sale - Algor Education

Foreword

This document ("Terms and Conditions" or "T&C") governs access to and use of the services provided through the website www.algoreducation.com ("Site"), and governs the relationship between Algor Lab S.r.l. (hereinafter "Algor"), VAT IT12537010014, Corso Castelfidardo 30/A, 10128 Turin, Italy, share capital €10,000.00, and each user who uses or accesses the available services ("User" or "Users").

Definitions

  • Service(s): All functionality provided by Algor through the Site, including the creation, uploading, management, publishing, sharing, browsing and editing of learning materials and other content, the use of digital learning tools (e.g., maps, quizzes, flashcards), as well as any ancillary services (AI support, prizes, etc.).
  • Account: The personal or business profile created by the User to access the Services.
  • Content: Any document, file, educational material, information, data, or other content uploaded, created, published, shared, or generated by the User via the Site, including content generated through Algor's AI tools.
  • AI Content: Content generated, even partially, through artificial intelligence functions built into the Site or through Algor automations.
  • Private Content: Content visible only to the User who created/uploaded it and not accessible to the community or other users, unless expressly shared.
  • Public Library: Public section of the Site where Algor, with prior consent, may make Content uploaded by Users available to third parties.
  • Consumer User: Natural person who uses the Site for purposes unrelated to his or her professional activity.
  • Professional User: Natural or legal person who uses the Site in the exercise of business or professional activity.

Art. 1 - Scope of application and updates

1.1. These T&Cs apply to all services, features and offers available on the Site and via mobile app, where available.

1.2. Algor may amend these T&Cs at any time. Any changes will be communicated with reasonable notice (minimum 15 days in case of substantial changes), by email or notification on the Site. Continued use of the Service after modification implies acceptance of the new conditions.

1.3. For any changes related to the processing of personal data, the Privacy Policy shall apply.

Article 2 - Registration and Account

2.1 All users who are 14 years of age or older may register and use Algor.

Users under the age of 14 may use Algor only with the permission of those exercising parental responsibility, provided in the manner specified in the registration procedure and retained by Algor for verification purposes.

2.2. The User guarantees the truthfulness and completeness of the information provided and agrees to update it in a timely manner.

2.3. The User is responsible for the security of his/her credentials and any activity performed through his/her Account. In case of misuse, the User shall notify Algor immediately.

2.4. Algor shall take technical measures to protect the security of Accounts, but shall not be liable for damages resulting from negligence in the custody of credentials by the User.

Article 3 - Terms of Purchase, Pricing and Payment.

3.1. Services may be offered for free or for a fee (e.g., subscriptions, packages, premium services).

The methods of purchase, prices, accepted payments and conditions of withdrawal can always be consulted on the dedicated page.

3.2. The price applied will always be the one published on the Site at the time of purchase.

3.3. The descriptions, images and promotional materials on the Site are for illustrative purposes only. Some representations may vary depending on the graphic settings of the devices used by the User.

3.4. Algor may change prices and offers at any time, without prejudice to the User's right to maintain the conditions active at the time of purchase.

3.5. For the conditions of withdrawal, seeArt. 11.

3.6. Invoices and/or receipts relating to purchases made on the Site will be issued in electronic format in accordance with current regulations and sent to the email address provided by the User, as well as made available in the restricted area where provided. For any need or request for assistance related to invoicing, the User may contact customer service at support@algoreducation.com.

3.7. Algor may issue discount codes, promotional vouchers or free credits, which may be used in the manner and according to the deadlines indicated at the time of their issuance. Such codes are not redeemable for cash and cannot be combined, unless otherwise stated.

Article 4 - Upload, management, publication and ownership of Content

4.1. The User may upload, create, edit and manage Content (e.g. files, materials, notes, documents, etc.) on the Site in accordance with the law and these T&Cs.

4.2. Content shall remain private and accessible only to the User, unless:

  • explicit sharing by the User;
  • express and specific consent for publication in the Public Library.

4.3. The User represents that he or she owns all necessary rights to the Content uploaded or created, warranting that such Content does not violate any third party rights (including copyright, privacy, trade secrets, intellectual property, sensitive data).

4.4. Liability: The User is solely responsible for the Content uploaded or created and agrees to indemnify and hold Algor harmless from any claims, complaints or damages arising from the violation of these T&Cs or third party rights.

4.5. Prohibited Content: You are prohibited from uploading, creating, sharing, or posting Content that is unlawful, defamatory, obscene, offensive, discriminatory, pornographic, violent, or infringes third party rights or applicable law, including copyrighted material without permission or sensitive data that has not been anonymized.

4.6. The Site does not allow Users to post publicly visible reviews or ratings. Any testimonials reported are taken from external sources (e.g., social media, review platforms) or received spontaneously by Users.

Art. 5 - AI-generated content.

5.1. Algor provides AI tools to facilitate the creation and organization of Content.

5.2. The User remains fully responsible for the Content generated through AI: he/she is required to verify its accuracy, lawfulness and respect for the rights of third parties.

5.3. Limitations of Use:

  • AI Content is intended for personal and educational use, not for resale, commercial dissemination, or publication in external marketplaces.
  • The User may not claim to be the exclusive author of AI Content generated through Algor.

5.4. Algor reserves the right at any time to remove AI Content that violates the law, third party rights, these T&Cs, or is reported as inappropriate.

5.5. The User agrees to hold Algor harmless from any claims related to violations arising from the improper use of AI Content.

Art. 6 - Public Library and License for Use.

6.1. Algor may publish User Content in the Public Library only after collecting consent in one of the following ways:

  • Opt-in: consent given at the time of uploading/sharing.
  • Opt-out (only for content uploaded before the introduction of the Public Library): Algor will notify the User by email, providing at least 30 days to object; failure to object is equivalent to consent.

6.2. The User may revoke consent or object to the publication of his/her Content in the Public Library at any time via the appropriate function, email or customer support.

6.3. Algor will not publish and will remove content that contains sensitive data or copyrighted materials, through automated/manual control systems and on a reporting basis, within the limits of reasonable technical diligence.

6.4. By publishing in the Public Library, User grants Algor a non-exclusive, royalty-free, transferable and sublicensable, worldwide license to use, reproduce and publish the Content, solely for the purposes of the Library and Algor services.

Once anonymized, the Content can no longer be associated with personal information, and the license granted becomes irrevocable, in accordance with applicable law.

However, Algor allows Users to request removal of their Content from the Public Library at any time, if they demonstrate original ownership, by email or appropriate procedure.

6.5. Algor reserves the right to award prizes, credits, badges or other incentives to Users who consent to publication, according to separate regulations.

Article 7 - Removal and reporting of content

7.1. Algor reserves the right to remove, at its sole discretion and without notice, any Content that is unlawful, inappropriate, reported, or in violation of these T&Cs, without any right to compensation.

7.2. You may at any time request the removal of your Content from the Public Library or report its abuse via dedicated function, email or customer support. Algor undertakes to take action as soon as possible.

Article 8 - Intellectual Property

8.1. The User retains copyright and intellectual property rights to its Content, subject to the license granted for the Public Library.

8.2. Algor and its trademarks, logos, software, graphics, databases and all original elements of the Site are protected and may not be used without written permission.

Article 9 - Privacy and Data Processing.

9.1. Personal data are processed in accordance with the updated Privacy Policy and in compliance with the GDPR.

9.2. Algor will not publish sensitive personal data without explicit consent of the User and will take all technical measures to exclude such data.

9.3. The User has the right to request the deletion of his/her personal data ("right to be forgotten") in accordance with the Privacy Policy.

Article 10 - Suspension, account closure and liability

10.1. Algor may suspend or close the User's Account in case of serious or repeated violation of these T&Cs, or upon request of the competent authorities.

10.2. Algor shall not be liable for indirect damages, loss of data, revenue, or opportunity, except for willful misconduct or gross negligence.

10.3. In case of account closure, Algor may keep online only the Content already published in the Public Library, unless the User revokes consent. All other private Content will be deleted.

Article 11 - Right of withdrawal and account deletion.

11.1. The Consumer User has the right to withdraw from the purchase of subscriptions or credit packages within 14 days of subscription, provided that he/she has not yet used, even partially, the credits or enjoyed the purchased digital services.

11.2. At the time when the User begins to use the credits, download materials, access restricted content or otherwise make use of the Digital Services, the right of withdrawal lapses pursuant to Article 59, paragraph 1, letter o) of the Consumer Code.

11.3. At the time of purchase, the User acknowledges and accepts that the beginning of the use of the Service entails the loss of the right of withdrawal.

11.4. Requests for refunds subsequent to the use, even partial, of credits or access to digital content will not be accepted.

11.5. The User may close his or her Account at any time by means of the appropriate function or written request; Algor will arrange for the deletion within the prescribed technical timeframe. Upon request, all personal data and non-public Content will be deleted, in accordance with the GDPR and the Privacy Policy.

Article 12 Legal Guarantee for Consumers

12.1. Pursuant to Articles 128 et seq. of the Consumer Code, the Consumer User is entitled to the legal guarantee of conformity of the Digital Services.

12.2. In the event of a lack of conformity, the User may request the restoration of conformity, a proportional reduction in the price or termination of the contract, in accordance with the provisions of current legislation.

12.3. The legal warranty lasts for:

  • two years from the provision of the Service, for one-time digital services;
  • the duration of the subscription, for continuously provided digital services.

12.4. If the User has purchased as a Professional, the legal warranty provisions provided for Consumers do not apply.

Article 13 - Applicable law and jurisdiction

13.1. These T&Cs are governed by Italian law.

13.2. For any dispute, the Court of the place of residence or domicile of the Consumer User is competent; for Professionals, the Court of Turin is competent.

Article 14 - Out-of-court settlement of disputes - ADR/ODR

14.1. Algor informs the Consumer User that if he/she has filed a complaint directly with Algor and it has not been possible to resolve the dispute thus arising, Algor will provide information regarding the alternative dispute resolution ("ADR") body or bodies for the out-of-court settlement of disputes relating to the obligations arising from these T&Cs, stating whether or not it intends to use such bodies.

14.2. The User Consumer is informed that a European platform for the online resolution of consumer disputes ("ODR") has been established and can be consulted at [http://ec.europa.eu/consumers/odr.](http://ec.europa.eu/consumers/odr) Through the ODR platform, the User Consumer will be able to consult the list of ADR bodies, find the link to the site of each of them and initiate an online dispute resolution procedure.

14.3. In any case, the right of the User Consumer to bring the dispute arising from these T&Cs before the ordinary court of competent jurisdiction remains unaffected, whatever the outcome of the ADR/ODR procedure.

The User residing in a member state of the European Union other than Italy may also have access, for any dispute relating to the application, execution and interpretation of these T&Cs, to the European Small Claims Procedure, ex Council Regulation (EC) No. 861/2007, July 11, 2007, provided that the value of the dispute does not exceed Euro 5,000.00 (excluding interest, expenses and charges). Article 15 - Entry into force and transition to the new Library

15.1. These T&Cs shall enter into force from the date of communication to Users, indicatively scheduled for 04/08/2025.

15.2 For Content uploaded prior to the entry into force of the new Public Library rules, only materials expressly selected and communicated by email will be candidates for publication in the Library. In such cases, Algor will notify affected Users in detail, providing at least 30 days to easily object to publication; failure to object will be equivalent to consent.

All other Content remains private and accessible only to the User, unless explicitly chosen to share.

Algor undertakes to respond to requests received via email or contact form within an indicative period of 7 working days, consistent with the volume of requests and the complexity of the case.
