Fair Usage Policy

This Fair Usage Policy (the "Policy") governs the proper use of the Algor service (the "Service"), provided by Algor Lab S.r.l. ("Algor Lab" or the "Company"), and forms an integral part of the Terms and Conditions of the Service. This Policy applies to all users of the Service (the "Users"), regardless of the plan subscribed to, whether free or paid.

Use of the Service constitutes full and unconditional acceptance of this Policy.

1. Purpose

This Policy aims to:

a) ensure the stability, quality and continuity of the Service for all Users;

b) ensure fair and proportionate use of the Company's technical and infrastructural resources;

c) prevent and counter abuses, improper uses or uses not consistent with the purposes of the Service;

d) safeguard the economic and operational sustainability of the Service in the medium and long term.

2. General principles of use

The Service is intended for personal, individual and good-faith use by the User. Algor Lab sizes its plans on the basis of average and reasonable use of the Service, suitable to meet the needs of the generality of Users.

The User undertakes to use the Service in a manner consistent with this Policy, the Terms and Conditions, applicable laws and the principles of fairness and good faith.

3. Credits system

3.1 Operation

The Service operates through an internal credits system (the "Credits"). Credits represent an internal technical unit of measurement used by Algor Lab to regulate access to and use of the Service's features.

Credits:

a) do not constitute currency, electronic money, a credit instrument or a means of payment of any kind;

b) are not convertible into money, goods or services outside the Service;

c) are not transferable between Users, unless otherwise indicated by Algor Lab;

d) are not refundable, except in the cases expressly provided for by the Terms and Conditions or by applicable law.

3.2 Consumption of Credits

The features of the Service may have a variable cost expressed in Credits. By way of example and not limitation:

a) some features involve a fixed consumption of Credits for each use;

b) some features involve variable consumption based on parameters such as the complexity, duration, quantity or type of output generated;

c) some features are provided free of charge and do not involve any consumption of Credits.

The cost in Credits of individual features is determined by Algor Lab based on the technical characteristics, computational complexity and resources required to provide each feature.

3.3 Quantity of Credits included in plans

Each plan of the Service includes a quantity of Credits usable in the relevant reference period. This quantity is sized to cover personal, individual and good-faith use of the Service, sufficient for the generality of Users.

4. Evolution of the Service and impact on Credit usage

4.1 Evolving nature of the Service

The User acknowledges and accepts that the Service is inherently evolving in nature. Algor Lab continuously develops, updates and improves the Service through, by way of example and not limitation:

a) the introduction of new features;

b) the improvement, updating or modification of existing features;

c) the integration of new technologies and models, including artificial intelligence models, whether third-party or developed in-house;

d) the optimisation of the performance, quality and accuracy of generated outputs;

e) the modification or discontinuation of features that become obsolete, inefficient or no longer sustainable;

f) the adaptation of the Service to technological, regulatory and market developments.

4.2 Impact on Credit consumption

Due to the evolving nature of the Service described in paragraph 4.1, the cost in Credits of features may vary over time. In particular:

a) new features may have their own cost in Credits, determined based on the technical resources required to provide them;

b) the cost in Credits of existing features may be revised as a result of technical changes, quality improvements, updates to underlying models, variations in infrastructure costs or other operational factors;

c) previously free features may become Credit-charged, and vice versa;

d) the methods for calculating Credit consumption may be updated to more accurately reflect actual resource usage.

4.3 Effects on the use of available Credits

The User expressly acknowledges and accepts that, as a result of the evolution of the Service and variations in the cost in Credits of features referred to in paragraph 4.2:

a) the number of operations that can be performed with the Credits included in their plan may vary over time;

b) the likelihood of reaching the limits of their plan may increase or decrease depending on the features used and the relevant cost in Credits in force during the reference period;

c) the features available and their characteristics at the time of subscription to the plan may be modified over time.

4.4 Communication of variations

Algor Lab may, where deemed appropriate, make available within the Service information about the cost in Credits of individual features. It is understood that such information, where provided, reflects the cost in force at the time of consultation and is subject to update.

The User is required to check the cost in Credits of features prior to their use, where such information is made available.

5. Technical and usage limits

5.1 Limits of the Service

The Service may include technical, quantitative or temporal limits aimed at ensuring its stability, security and usability by all Users, including, by way of example:

a) limits on the frequency of requests;

b) limits on the size, duration or complexity of operations;

c) limits on the concurrent use of the Service;

d) limits on Credits usable in given time intervals.

5.2 Adjustment of limits

Algor Lab reserves the right to introduce, modify or remove the limits referred to in paragraph 5.1 in light of the evolution of the Service, operational and technical needs and usage loads, in order to ensure optimal operation of the Service for all Users.

6. Prohibited uses

6.1 Prohibited conduct

The following constitute uses not compliant with this Policy, by way of example and not limitation:

a) use of the Service through automated tools, bots, scripts, crawlers, scrapers or any other tool not authorised by Algor Lab;

b) the resale, redistribution, sublicensing, sharing or making available of the Service or its features to third parties, whether free of charge or for consideration;

c) the sharing of the account, access credentials or Credits with third parties;

d) the use of the Service for commercial, professional or large-scale purposes not expressly permitted by the subscribed plan;

e) the creation of multiple accounts for the purpose of multiplying the available Credits or circumventing the limits set;

f) any conduct aimed at circumventing, evading or tampering with the technical, quantitative or temporal limits of the Service;

g) the use of the Service for illegal purposes, or purposes contrary to public order, decency, morality or the rights of third parties;

h) any use that may compromise the stability, security or integrity of the Service or the Company's infrastructure;

i) the use of the Service to an extent significantly higher than the average of Users, such as to constitute anomalous, excessive or non-conforming use with respect to the personal purposes of the Service.

6.2 Assessment

The assessment of compliance of the use of the Service with this Policy is at the discretion of Algor Lab, which may make use of statistical, technical and behavioural parameters, including in an automated manner.

7. Consequences of violations

7.1 Applicable measures

In the event of an ascertained or suspected violation of this Policy, or in the case of anomalous, excessive or non-conforming use of the Service, Algor Lab reserves the right to take, at its discretion and without prior notice, one or more of the following measures:

a) temporary restriction of access to specific features of the Service;

b) temporary limitation or reduction of the quantity of Credits available;

c) application of specific technical or quantitative limits on the User's account;

d) temporary suspension of the account;

e) termination of the contract and permanent closure of the account, in the most serious cases or in the event of repeated violations;

f) claim for damages possibly suffered by the Company or by third parties.

7.2 Communication

Algor Lab may, at its discretion, inform the User of the measures taken, including after their application. It is understood that the absence of prior communication does not constitute a breach by the Company.

7.3 No refund

The measures referred to in this article do not entitle the User to any refund, indemnity or compensation, except in cases expressly provided for by applicable law.

8. Limitation of liability

To the extent permitted by applicable law, Algor Lab shall not be liable for any direct or indirect damage suffered by the User as a result of:

a) the application of this Policy;

b) the evolution of the Service and its features;

c) variations in the cost in Credits of features;

d) the measures taken pursuant to article 7;

e) the temporary or permanent unavailability of features of the Service.

9. Amendments to the Policy

Algor Lab reserves the right to amend this Policy at any time, at its discretion. Amendments will be made available by publishing the updated version on the website or within the Service and will take effect from the date indicated in the new version.

Use of the Service after the publication of an updated version of the Policy constitutes acceptance thereof by the User.

10. Governing law and jurisdiction

This Policy is governed by Italian law. Any dispute relating to the interpretation, performance or validity of this Policy shall be subject to the exclusive jurisdiction of the Court of Turin, Italy, without prejudice to the mandatory jurisdiction of the consumer's place of residence where applicable under applicable law.
